The Prosper® Card MasterCard Shopping Program (“Program”), made available by Prosper, provides offers from participating merchants to Eligible Cardholders.
These Prosper® Card MasterCard Shopping Program Terms and Conditions (the “Terms and Conditions”) govern all aspects of the Program. By participating in the Program or by accessing or redeeming any Offer, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. These Terms and Conditions are separate from, and apply in addition to, the Prosper® Card Cardholder Agreement.
We make the Program available to Eligible Cardholders in our sole discretion. We may change or cancel the Program, these Terms and Conditions, your eligibility to participate in the Program, the availability or terms of any Offer, or the participation of any Participating Merchant in the Program at any time in our sole discretion with or without notice to you.
Revisions to these Terms and Conditions will be effective at the time the revised Terms and Conditions are posted to this webpage. Please regularly check this webpage so you are aware of any changes. By continuing to participate in the Program after the effective date of any changes, you thereby agree to such changes in these Terms and Conditions. If you do not agree to these Terms and Conditions, or any revised version of these Terms and Conditions, you must not participate in, access, or use the Program or any Offers.
We may access your past and future purchases using the Prosper Card and use this information to send you Offers and messages based on your purchase behavior or other conditions. For additional information about how your information is used and processed in connection with the Program, please review the Prosper Privacy Policy and the Prosper® Card MasterCard Shopping Program Privacy Notice.
Prosper makes the Program available to individuals who hold a Prosper® Card issued by Coastal Community Bank and who are in good standing, as determined by Prosper in its sole discretion (“Eligible Cardholders”).
The Program is available to Eligible Cardholders automatically; no separate enrollment is required. You may use and participate in the Program and access and redeem Offers only if you are an Eligible Cardholder. We reserve the right to change the eligibility requirements for availability of, and participation in, the Program in our sole discretion with or without notice to you.
We and our partners and service providers collaborate with certain merchants (“Participating Merchants”) to offer you a monetary reward applied as a statement credit to your Prosper® Card account (“Cash Back”) in connection with certain purchases or other transactions you make or activities you undertake with Participating Merchants (“Offers”).
For Offer specific terms, please review the Participating Merchant’s applicable terms and conditions for the applicable Offer. When you click on each Offer, you will be provided with the Participating Merchant’s specific terms which may contain additional requirements for activation or redemption. Your purchase must satisfy all the requirements of the specific Offer in order to qualify for it. Each Participating Merchant sets the terms of their Offers (“Offer Terms”), including how and under what circumstances you may access their Offers and the particular purchases or other transactions you must make or other activities you must undertake to redeem their Offers (“Qualifying Transactions”). Prosper is not responsible for ensuring redemption of any such Offer. Participating Merchants and Offer terms may be changed from time to time without notice. When you are redeeming an Offer with a Participating Merchant, you should review each Participating Merchant’s website privacy policy, as Prosper has no control over information you submit to the Participating Merchants or parties associated with the Participating Merchant.
Cash Back may be awarded to your account only for Qualifying Transactions and only in accordance with the applicable Offer Terms, these Terms and Conditions, the Prosper® Card Cardholder Agreement, and any other Offer rules established by the Participating Merchant or us.
Qualifying Transactions require that you must first activate the Offer and then use your Prosper® Card to make a qualifying purchase from the Participating Merchant in order to earn Cash Back. Qualifying Transactions do not include cash advance transactions, PIN debit transactions, purchase transactions that include cash back, or any transactions that were subsequently the subject of a return, credit, chargeback, or other full or partial reversal. Cash Back will not be awarded in connection with any Offer for any transactions or activities other than Qualifying Transactions.
Unless the applicable Offer Terms specify otherwise, Offers are nontransferable. In some instances, Offers may not be combined or stacked with other offers or promotions. If a Participating Merchant processes your purchase using multiple transactions, in our discretion we may consider only the first transaction to be a Qualifying Transaction, assuming it meets the Offer Terms.
Keep the receipts you receive from a Participating Merchant for any Qualifying Transaction until the Cash Back earned for the Qualifying Transaction is properly posted to your account. Allow 4 to 6 weeks after completing any Qualifying Transaction for Cash Back earned through any Offer to post to your account. You are responsible for confirming any Cash Back earned through any Offers are properly credited to your account. If you believe you have properly earned Prosper® Card Cash Back through an Offer, but the Cash Back for the Offer has not properly posted to your account, please contact Prosper at 1-800-903-4697 or support@prospercards.com. We may require you to submit documentation or other evidence satisfactory to us of your Qualifying Transaction for the Offer and compliance with the Offer Terms, which may include copies of the receipts for the Qualifying Transaction.
We reserve the right to modify, cancel, or suspend the availability or Offer Terms of any Offer or the participation of any Participating Merchant in the Program at any time in our sole discretion with or without notice to you.
Your use of the Program, including your access to and redemption of any Offer and your earning of any Prosper® Card Cash Back in connection with any Offer, is subject to these Terms and Conditions, applicable Offer Terms, and the Prosper® Card Cardholder Agreement.
The Program and the Offers made available to you through the Program are intended for your personal use and enjoyment. You may not use the Program or any Offer for any commercial purpose, including, by way of example, for conducting surveys, contests, or commercial research, or advertising, marketing, or offering to sell any goods, services, business opportunities, employment opportunities, other commercial opportunities, or securities.
You may only access the Program and the Offers directly. You may not access the Program or the Offers through any third party, other than a member of your household or a person that you directly authorize. You may not access the Program or the Offers through any third-party service, such as tracking, or aggregation service or application.
All text, images, video, audio, and other content displayed, shown, played, provided, or otherwise made available to you in connection with the Program (“Content”), including content relevant to your access to and redemption of Offers, are the exclusive property of us or our licensors. You may not copy, display, distribute, create a derivative work from, or otherwise use the Content for any public or commercial purpose, and nothing in or about the Program will be construed to create any license to the Content. Additionally, we own or license certain software and code to offer, provide, and operate the Program (“Software”). You are prohibited by law from modifying, redistributing, or reproducing the Software. All trademarks used in connection with the Program are the property of their respective owners.
We reserve the right in our sole discretion to determine whether your access to and redemption of any Offer, and your access to and use of the Program, any Content, or Software, conforms to its authorized and intended use. If we determine you have misused the Program or any Offer, we may suspend or terminate your participation in the Program or require you to forfeit any Cash Back you earned or would have earned in connection with any Offer.
By accessing and using the Program or accessing or redeeming any Offer, you represent and warrant to us that you are an Eligible Cardholder, you are 18 years of age or older, and you possess the legal right and ability to enter into these Terms and Conditions. You accept contractual and financial responsibility for all access to and use of the Program using your Prosper® Card or account, or by persons you authorize to access and use the Program, including by minors living with you.
You represent and warrant that you will not access or use the Program to engage in any illegal, fraudulent, or other illicit activity. We will, at our discretion, immediately suspend or terminate access to the Program or to Offers for any person We suspect of tampering with any aspect of the Program or any Offer, or that We believe to be acting in an improper or disruptive way, including to misuse or game the Program, and seek damages from any person as permitted by law.
You agree to immediately notify us if you suspect fraudulent or abusive activity in connection with the Program or any Offers, by contacting us at 1-800-903-4697 or support@prospercards.com. If we suspect fraudulent or abusive activity, you will cooperate with us in any investigation and use any fraud prevention measures we request.
You agree to indemnify, defend, and hold harmless us and our affiliates, and any Participating Merchant and their affiliates, from and against any and all claims, demands, proceedings, suits, and actions (including any related liabilities, obligations, damages, attorneys’ fees, and costs) arising out of or resulting from your access to or use of the Program or any Offer.
We are not responsible for and will have no liability for any products or services offered or provided by any Participating Merchant, including in connection with any Offer, or any act or omission taken by any Participating Merchant.
The Program, the Content, and the Software may include links or references to other sites or applications. We provide these links and references as a convenience; they do not represent our endorsement of their content. We are not responsible for and will have no liability for the content of, or products or services obtained from, sites or applications linked from the Program, the Content, or the Software. You must not link or refer to the Program, any Content, the Software, or any Offer without our prior written authorization. We are not responsible for and will have no liability for sites, applications, or content that link or refer to the Program, any Content, the Software, or any Offer, unless those sites or applications are operated by, or the content is made available by, us.
We make no representation or warranty as to the accuracy or completeness of the Content, the operability of the Software, or the suitability of the Content or the Software for any purpose. We likewise make no representation or warranty that your use of the Content, the Software, the Program, or any Offer (the “Program Assets”) will not infringe on the intellectual property rights of third parties. We are not responsible for any virus or other damage to your technology or property due to your access to or use of the Program Assets. We make no representation or warranty as to the availability of the Program Assets or the participation of any Participating Merchant in the Program.
YOU ACCESS AND USE THE PROGRAM ASSETS AT YOUR OWN RISK. THE PROGRAM ASSETS ARE MADE AVAILABLE “AS IS” AND WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF EXPECTATION OF PRIVACY, FITNESS FOR A PARTICULAR PURPOSE, MERCHANTABILITY, NON-INFRINGEMENT, OR TITLE. TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL WE OR OUR AFFILIATES BE LIABLE FOR ANY DAMAGES (WHETHER DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR OTHERWISE) ARISING OUT OF, OR IN ANY WAY CONNECTED WITH, THE ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE PROGRAM ASSETS, REGARDLESS OF WHETHER SUCH DAMAGES ARE BASED IN CONTRACT, STRICT LIABILITY, TORT, OR OTHER THEORY OF LIABILITY, AND ALSO REGARDLESS OF WHETHER WE WERE GIVEN ACTUAL OR CONSTRUCTIVE NOTICE THAT DAMAGES WERE POSSIBLE.
If we or any Participating Merchant improperly denies you Cash Back connection with any Offer, your sole and exclusive remedy will be credit of the improperly denied Cash Back or such another comparable benefit as we may determine in our sole discretion.
These Terms, together with any applicable Offer Terms, Prosper Card® Cardholder Agreement, constitute the entire agreement governing your access to and use of the Program. Any failure by us to assert any rights we have under these Terms and Conditions will not constitute a waiver of our right to assert the same or any other right at any time with respect to you or any other entity. If any provision of these Terms and Conditions is determined to be invalid or unenforceable, then the invalid or unenforceable provision will be severed from these Terms and Conditions without affecting the validity or enforceability of any other provision of these Terms and Conditions.
You may not assign your rights or obligations under these Terms and Conditions to any other party. Any attempt to do so will be void.
