If you forget your password, go to the forgotten password page to verify your identity by answering a few questions. Prosper will send you instructions for resetting your password using the email address you have on file for your member account.

Note: Your current password will remain active until you create a new one.

You can manage your bank accounts on your bank accounts page.

When you initially registered with Prosper, you supplied some basic information, such as your name, email, password, and screen name. This is referred to as your "profile." If any of your personal or contact information changes, you can update and edit your profile.

However, you cannot change your name or Social Security number. If you have already gone through the process of having your identity checked with Prosper (for the purpose of becoming a borrower or lender), you will not be able to update your name or Social Security number on the web site. We take your privacy and security very seriously, and this restriction exists to enforce the identity of all members on the marketplace.

For security reasons, all borrowers must have a verified mailing address. That means we can send postal mail to your mailing address on file and you will receive it. This verification helps Prosper reduce the risk of identity theft.

Prosper uses several methods to verify your address. For one of the potential verification methods, Prosper sends you a small postcard with a verification code. This is not an email, it is a paper postcard sent through the U.S. Postal Service to the address you entered when you registered.

If you receive a postcard in the mail, go to "My Account > Settings" and click "Verify this address". You will be prompted to enter the verification code printed on the postcard you received. Once you have successfully entered the verification code, you may destroy and discard your postcard.

You can view and change your account preferences by going to "My Account > Settings". Go to your settings now.

You might receive some messages from Prosper which you cannot turn off. There are a few messages you are required to receive as a member of Prosper, typically for security or legal reasons.

There are also some kinds of messages (for example, "Legal Agreement changes"), which require you to receive a message on-site, but not necessarily via email. In this case, you will see a check mark () on the "Edit Communication Preferences" page in the "On-site message" column, indicating that you are required to receive that notification as an on-site message.

Messages operate like your email inbox on Prosper. Your Prosper Messages inbox is where you will receive secure, relevant messages directly from Prosper and other Prosper members. All messages that originate from the Prosper system are authentic. Prosper account messages will come directly to your Messages inbox, although communication with Prosper customer service may occur through the personal email address that you entered upon registration.

By communicating with you through on-site messages, Prosper can ensure that the messages you receive are not fake emails (spoof), spam or "phishing" scams. Furthermore, it ensures the delivery of important account-related messages to you.

Since messages from other members are sent through the site's messaging system, Prosper can ensure any transaction-related messages are successfully delivered to you and are not susceptible to your ISP or email spam filters.

Like other social networking sites, Prosper allows members to connect with each other and form a network of friends. We call people that are connected to you on Prosper your "friends". You can see your friends on the "Connections > People" page.

Each time you put up a new loan listing, your friends will be notified. If they bid on your loan, their bids will show up on your listing page in a section titled Winning Bids from Family and Friends. You can also invite people who are not yet on Prosper to bid on your loan.

If you want to have some of your own friends on Prosper, invite friends now. To add existing Prosper members to your list of friends, you will need to ask them by email invitation as well—you cannot add a Prosper member after finding them on the site.

You can also encourage your friends to bid on your listing. Bids from family and friends provide credibility to your listing. Friends and family who bid on your Prosper loan are then allowed to leave a recommendation for the borrower. Borrower listings with bid and recommendations from friends have a greater chance of getting funded.

If you have an active listing, you can request bids from family and friends on "My Account".

Your member page is a page on the Prosper site that is all about you! Your member page is created automatically for you. If you want to add to it or make changes, just go to "Edit your member page".

You can use it to:

• let the Prosper community know who you are.
• display pictures of yourself and your friends.
• describe your favorite hobby, post a recipe, or talk about what matters to you.

The picture on your member page starts as the default picture picked for your member page when you registered. So that the site wouldn't look like a faceless sea of "No picture" labels, we picked some friendly-looking pictures and randomly assign them to new users.

This isn't a permanent thing. You can easily change pictures by editing your member page, scrolling down to "Pictures" and either uploading a real picture of yourself from your computer, or choosing a different picture from the Prosper library.

Prosper's refer a friend program was established to encourage our members to bring their friends, family and colleagues to Prosper to become active borrowers. In return, Prosper pays cash awards to referrers.

Here's how it works:

1. Sign in to your Prosper account and go to the Invite a Friend page.
2. Enter your friend's information, customize the message if you wish, and send the invitation to your friend.
3. Your friend joins Prosper within 30 days of clicking on the link in your invitation.
4. If your friend joins Prosper within 30 days of clicking on the link in your invitation, you will receive a cash reward if, within 90 days of joining Prosper, your friend gets a funded loan as a borrower.
5. As soon as your friend's first monthly payment clears, you receive a cash award in your Prosper account.

The compensation for referring a borrower is $100 as soon as your friend gets a loan and makes their first monthly payment.

In order to earn the referral rewards, you have to invite someone who has never joined Prosper in the past and they must use the invitation link you sent to join. If your invitee does not use the link, Prosper will not be able to track that they were invited. Also, they must register as a borrower within 30 days of clicking on the link, and obtain a loan within 90 days of joining Prosper.

You will only receive a referral award after your friend has taken an action:

• Your friend must get a funded loan and make the first monthly payment successfully. You will receive your award in your Prosper account as soon as the first monthly payment clears.

To qualify for referral awards, you have to meet the following conditions:

• The invitee must have clicked on a link from your invitation with a referral code.
• The invitee's Web browser must accept cookies.
• The invitee must be a new member, and must join Prosper within 30 days of clicking on your link.
• The invitee must borrow money within 90 days of joining Prosper.
• He or she must make the first monthly payment successfully.
• You can only earn one borrower award per new referred member.

When a friend or colleague you have referred joins Prosper, you will receive an email notifying you. Keep in mind that you won't receive any awards until a loan has been taken and a payment made.

You can also view your referrals by going to the "My Account > History" page, choosing "Event type: Referred New Member" and "Date range: All time", and clicking "Apply filter". This will show all of the members who used your link to sign up with Prosper. These are the members a referral credit is available for, as long as the other requirements are met.

You'll receive another email notifying you when the referral award has been paid.

Please note, referral awards cannot be given for referrals who did not use a Prosper referral link. If you referred a new member without using a referral link, we appreciate your referral, but for obvious reasons cannot offer referral awards to everyone who has claimed to refer a new member.

The Notes that correspond to specific borrower listings are offered pursuant to the prospectus. Investors should read the complete description of the Notes and risks associated with making an investment in the Notes as well as other information about us and our platform in the prospectus.

Prosper's affiliate program was established to encourage online publishers or website owners to promote Prosper to their user base while earning a commission.

There's no cost to participate and it's as easy as putting a banner or text ad on your website. There are two ways to earn commissions:

1. Borrower Referrals: when one of your visitors clicks on a Borrower referral ad, becomes a Prosper Borrower, receives a loan and makes their first payment on the loan.
2. Lender Referrals: when one of your visitors clicks on a Lender ad and completes an approved Prosper Lender application.

Apply to join Prosper's affiliate program now and complete the Prosper Affiliate Application and Agreement. We will be in touch you once your application is approved. As an approved affiliate, you will receive a dedicated tracking URL and a link to our creative ads.

Advertising Fees will be paid monthly for the previous month's activity.

At the beginning of the month for the previous month, Prosper will email the affiliate a monthly report of commissions earned. Reports will only be sent if you have earned one commission or more in that time period.

Certain activities are not allowed under the Prosper Affiliate Agreement because they result in misled users, poor quality traffic or are not an appropriate use of the Prosper brand. An affiliate participating in any of these activities is subject to removal from the program at any time, with or without notice.

1. Posting link to third party websites which were not in the original affiliate application, such as Craigslist or other classifieds, Yahoo Answers, online forums or blog comments (other than the affiliates own blog).
2. Using content from the Prosper.com website, including copying and pasting copy or creating copies of Prosper.com graphics. Affiliates may only use content and graphics that are provided by Prosper on the affiliate creative pickup page.
3. Invisibly framing or scraping the Prosper.com website for content.
4. Misrepresenting Prosper to traffic or representing Prosper in any way that is contrary to applicable laws. In particular, affiliates may not represent that (1) any borrowers may obtain a loan, even with bad credit, (2) lender returns are guaranteed, (3) investing is risk free, or (4) lender funds are FDIC insured.
